Website Hosting Terms of Service

Welcome to Intelligen CC LLC’s hosting services! By signing up for and using our hosting services, you agree to comply with and be bound by the following Terms of Service (“Terms”). If you do not agree with these Terms, you may not use our hosting services.
1. Incorporation by Reference
These Terms incorporate the following additional documents, which form an integral part of this agreement:

2. Service Description
Intelligen CC LLC provides managed website hosting services built on reliable cloud-based server infrastructure powered by Cloudways. Our hosting services are tailored to provide business-class solutions featuring secure hosting environment, scalability, and flexibility for future upgrades. Our services include server setup, basic maintenance, monitoring, and support to ensure the performance and availability of your website.
Our managed hosting includes the following features:
- Powered by Cloudways: Your website is hosted on the secure and high-performance Cloudways platform. Intelligen CC LLC oversees server configuration and general maintenance to ensure hosting reliability.
- SafeUpdates: Automatic security and plugin updates are conducted to ensure compatibility with your live site. Any flagged issues will be addressed promptly as part of our standard support. Please note: In rare cases, updates to third-party plugins or WordPress may require additional paid development time to maintain full site functionality or security. If this occurs, we will reach out to you prior to beginning additional work.
- Routine Maintenance: Regular backups and server updates are conducted as part of our hosting services. Monitoring is performed to identify and address potential issues proactively.
- SSL Certificates: SSL certificates are installed and renewed regularly using Let’s Encrypt for secure connections.
- Scalable Resources: Hosting plans are adjusted based on traffic and performance requirements. If resource needs grow, we will recommend adjustments to maintain reliable service.
- Non-Contract Flexibility: Hosting services are subscription-based, with no long-term contracts. Clients may prepay for each hosting period and cancel at any time by providing 30 days’ written notice.
We do not provide email hosting, domain registration, or third-party integrations as part of our hosting services unless explicitly agreed upon. Dashboard login credentials to the hosting platform are not provided by default but can be made available upon client request.
3. Third-Party Hosting Infrastructure
Our hosting services operate on infrastructure provided by Cloudways, Ltd., a subsidiary of DigitalOcean, LLC. By using our services, you agree to comply with the terms and policies of both Cloudways and DigitalOcean. Applicable terms include, but are not limited to:
While Intelligen CC LLC manages your hosting environment, Cloudways retains responsibility for the server infrastructure. For server-related issues, Cloudways’ policies and procedures will apply.
Invoices and communications for hosting services may reference Cloudways, Ltd., as this entity continues to operate under its established brand within the DigitalOcean organization.
4. Client Responsibilities
Clients are responsible for:
- Content Compliance: Ensuring all content hosted on our servers complies with applicable laws and regulations and does not infringe on the rights of others.
- Data Backups: We recommend all clients maintain long-term backups of their website and associated data at all times. While our hosting services include regular site backups, we are happy to provide copies of long-term backup files to our clients upon request.
- Account Accuracy: Providing accurate and complete information for account setup and maintenance.
- Security: Protecting your login credentials to your website and/or hosting dashboard and notifying us immediately of any unauthorized access to your account.
5. Acceptable Use Policy
Clients must not use our hosting services to:
- Host illegal content, including but not limited to copyrighted material without authorization, defamatory content, or content promoting illegal activities.
- Engage in spamming, phishing, or the distribution of malware.
- Perform unauthorized access attempts, including hacking or any activity that disrupts or interferes with other users.
Violations of this policy may result in the immediate suspension or termination of your hosting services.
6. Billing and Payment Terms
- Billing Cycle: Hosting services are billed on a monthly, quarterly, semi-annual, or annual basis, depending on the plan selected at signup.
- Payment Method: Payments are processed through Stripe subscriptions unless other arrangements are agreed upon. Clients can cancel automatic payments directly in Stripe but must still provide 30 days’ written notice of termination.
- Payment Due Dates: Payments must be made by the due date specified in your invoice. Late payments may result in service suspension.
- Refund Policy: Fees for hosting services are non-refundable unless otherwise specified in a written agreement.
- Termination for Non-Payment: Intelligen CC LLC reserves the right to terminate hosting services for accounts that remain unpaid for more than 15 days after the due date. Outstanding balances must be cleared before services can be reinstated.
7. Termination
Either party may terminate this agreement with 30 days’ written notice. Intelligen CC LLC reserves the right to terminate services immediately in cases of:
- Non-payment of fees.
- Violation of these Terms or the Acceptable Use Policy.
- Actions that compromise the security or integrity of our servers.
Upon termination, it is the client’s responsibility to migrate their website to another hosting provider. Migration fees, if applicable, will be discussed on a case-by-case basis. We are not responsible for data loss due to termination.
8. Limitation of Liability
- Intelligen CC LLC is not liable for service interruptions, data loss, or damages arising from events beyond our control, including but not limited to natural disasters, third-party failures, or cyberattacks.
- Our liability is limited to the fees paid for the affected hosting service during the 6 months preceding the incident.
9. Dispute Resolution
For any disputes arising under these Terms, both parties agree to resolve the matter through binding arbitration as outlined below:
- Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA).
- Any disputes involving claims under $10,000 may be handled via document submissions or a virtual hearing.
- Each party will bear their own costs, and arbitration decisions will be final and binding.
10. Force Majeure
We are not responsible for delays or interruptions caused by circumstances beyond our reasonable control, including but not limited to acts of God, governmental actions, or network outages.
11. Modifications to Terms
Intelligen CC LLC reserves the right to update or modify these Terms at any time. Changes will be communicated to clients via email. In the event of significant changes, clients will be given at least 30 days’ notice to review the updated terms. Continued use of the hosting service after changes indicates acceptance of the updated Terms.
12. Data Protection and Backups
- Intelligen CC LLC conducts regular backups as part of our Routine Maintenance services. However, clients are encouraged to maintain independent long-term backups of their website and data to protect against unforeseen circumstances or extended data retention needs.
- Backup copies managed by Intelligen CC LLC can be provided to clients upon request, subject to availability.
- Intelligen CC LLC is not liable for data loss resulting from third-party failures, client actions, or circumstances beyond our control, even if backup services are included in your hosting plan.
13. Support Scope
Intelligen CC LLC provides basic support for hosting-related issues, including server performance and general troubleshooting. In rare cases, advanced technical support beyond our regular services may require additional fees, especially if third-party paid support (e.g., Cloudways) is necessary. These costs will be discussed with the client before proceeding.
14. Data Ownership
Clients retain full ownership of the data and content hosted on our servers. Clients are solely responsible for ensuring their data complies with all applicable laws. Intelligen CC LLC reserves the right to remove any content that violates these Terms or applicable laws.
15. Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Governing Law
These Terms are governed by the laws of the State of Texas. Any disputes arising under these Terms shall be resolved in the courts located in [County, Texas].
17. Notices and Communication
All notices, updates, or communications regarding these Terms or the hosting services will be sent via email to the address provided by the client at signup. It is the client’s responsibility to ensure their email address is current and monitored.
